These Terms & Conditions ("Terms") govern your access to and use of the website operated at jermainesol.com and the professional services provided by Jermaine Solutions ("Company", "we", "us"), with offices at 201 N Braddock Ave, Pittsburgh, PA 15208, United States. By accessing the website or engaging our services, you agree to be bound by these Terms.
1. Services
Jermaine Solutions provides B2B information technology services including SaaS product development, custom software development, web and mobile application development, UI/UX design, digital marketing, SEO, branding, IT consulting, and business automation. The specific scope of any engagement is defined in a written Statement of Work ("SOW") signed by both parties.
2. Proposals and Engagement
Each engagement begins with a written proposal that specifies deliverables, timeline, assumptions, acceptance criteria, and a fixed budget envelope or rate card. No work is performed prior to acceptance of a signed SOW and any required deposit.
3. Client Responsibilities
- Provide timely access to information, accounts, and stakeholders required for the work.
- Designate a primary point of contact authorized to make decisions and approve deliverables.
- Review and provide written feedback on deliverables within the timelines stated in the SOW.
4. Fees and Payment
Fees, milestones, and payment schedules are set out in the applicable SOW. Invoices are payable in U.S. dollars within fifteen (15) days of issue unless otherwise agreed. Late payments may incur interest at the lesser of 1.5% per month or the maximum rate permitted by law.
5. Intellectual Property
Upon receipt of all amounts due under an SOW, the Company assigns to the client all right, title and interest in deliverables specifically produced for the client, excluding pre-existing Company tools, frameworks, and general know-how, for which a non-exclusive, perpetual license is granted to the client for use of the deliverables.
6. Confidentiality
Each party will protect the other's confidential information with the same care it uses to protect its own confidential information and at least a reasonable standard of care.
7. Warranties
The Company warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Deliverables include a 30-day warranty period during which the Company will correct defects in the delivered work at no additional charge.
8. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. The Company's aggregate liability under any engagement will not exceed the fees paid by the client under the applicable SOW in the three (3) months preceding the claim.
9. Termination
Either party may terminate an engagement for material breach not cured within thirty (30) days of written notice. Upon termination, the client will pay for services rendered through the effective date of termination.
10. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. Exclusive venue for any dispute will be the state or federal courts located in Allegheny County, Pennsylvania.
